MINUTES FOR THE EXECUTIVE SESSION 
HELD DECEMBER 28, 2005

A closed executive meeting of the TWSD board of directors was held on December 
28, 2005 at the offices of Sandenaw, Piazza & Anderson, PC., located at 2951 
Roadrunner Parkway in Las Cruces, New Mexico, at 11:30 AM.

Board members present were:  Betty Phillips, Sid Benson, and Larry Hanson.  Bill 
Gideon and Debbie Goss were also present.
   
Pursuant to NMSA Section 10-15-1 (H)(7), the meeting was called to discuss 
pending litigation with attorney, Melissa Reeves.  Motions filed in the Beagles 
et al lawsuit being heard in court that day were discussed.  No action was 
taken.
